TOM Online Acquires Majority Stake in Indiagames
Establishes global wireless game presence

(Hong Kong, December 17, 2004) -- TOM Online Inc. (Nasdaq: TOMO; HK GEM stock code: 8282), China’s leading wireless Internet company , announced today it has signed a definitive agreement to acquire a majority stake in Indiagames Ltd. (“Indiagames”), an award winning wireless game developer and global publisher of mobile entertainment content based in India. The investment not only will help TOM Online establish its wireless game presence in India and China, but also vastly broaden its horizon for growth globally.

Under the agreement, TOM Online will acquire an 80.6% equity stake in Indiagames, India’s largest wireless game producer, for a cash consideration of US$17.73 million (approx. HK$138.3 million). TOM Online has acquired around 77% of Indiagames’ existing shares from investors including Infinity Ventures, IL&FS Investment Managers and the management team of Indiagames; the remainder of the shares in discussion will be in the form of new shares valued at US$4 million. Key management staff including founder Vishal Gondal will retain the remaining 19.4% share in the company and continue to run the operations of the company.

The owner of one of the largest wireless content development facilities in the world with more than 160 highly experienced professionals, the India-based company counts top tier Hollywood studios, handset manufacturers, and more than 100 distribution channels among its partners around the world, including Orange, Verizon, Sprint, Singtel, Airtel and AT&T.

Founded in 1999, Indiagames has distinguished itself as a high quality and creative game developer. A global publisher with a strong reputation and track record, the company also has successfully established diversified revenue streams from mobile games publishing and third-party development. Indiagames has been profitable for the past two years with a net margin of just under 50%.

TOM Online believes Indiagames will help catapult its integrated Internet products and services onto the world stage with access to truly global partners and distribution channels, a first for any Chinese portal, further enhancing its business growth both inside and outside China.

Lightbulb Mforma planning IPO in 2005?

Area companies may be ready to go public in coming year

Going public isn't as glamorous as it once was.

From shareholder lawsuits to onerous government regulations, executives of publicly traded companies must deal with a host of challenges these days.

But that's not stopping fast-growing companies from considering initial public offerings. Already, two Seattle-area firms -- Corus Pharma and SeaBright Insurance -- are waiting to go public.

Here's a look at a few others that might make the leap this year or next.

Clearwire, Corbis and Digeo: When your principal founder is a multibillionaire, an initial public offering is not really a necessity. But Seattle's great triumvirate of billionaires -- Craig McCaw, Bill Gates and Paul Allen -- each owns a company that could be ready for Wall Street.


Clearwire, the latest wireless project from Kirkland mobile phone pioneer Craig McCaw, wants to set up broadband wireless networks in as many as 20 new cities this year. The question remains whether McCaw -- who raised $160 million in August and landed an undisclosed investment from Intel in October -- will tap public markets to fuel the expansion.


Seattle-based Corbis, a digital image company founded by Bill Gates 16 years ago, has acted like a publicly traded company for the past two years, holding an annual meeting in New York City and reporting financial results. That has sparked rumors that Corbis, whose principal rival is Seattle-based Getty Images, may be getting ready for an IPO. Company spokesman Dov Schiff said there are no plans to go public.

"Ten years from the now the structure of the company will probably be a lot different than today," he said. "But in the immediate future an IPO is not in the cards."

Paul Allen has had his share of business failures in recent years. But the Microsoft co-founder could be at the forefront of a technological wave with Digeo, whose software and hardware helps cable operators offer enhanced TV services such as digital video recording, on-demand viewing, games and music.

If interactive television continues to gain momentum, Digeo might test the IPO waters.

GiftCertificates.com: The past year saw a number of revitalized Internet companies take the IPO plunge. In the Seattle area, online retailers Blue Nile and Celebrate Express performed well in their stock market debuts.

If the trend continues, GiftCertificates.com could be on the short list. The 7-year-old Seattle company, which distributes online gift certificates for Bass Pro Shops, Eddie Bauer, Williams-Sonoma and dozens of other retailers, was expected to top $100 million in sales in 2004. With the popularity of gift cards and gift certificates on the rise (they surpassed apparel as the No. 1 gift item this holiday season), GiftCertificates.com looks well positioned.

The fact that the 140-person company is cash flow positive shouldn't hurt either if executives decide to go the IPO route.

GiftCertificates.com, which recently named Timothy Barefield chief executive, has attempted an IPO before. It filed to raise up to $50 million in June 2000 but pulled the offering five months later because of poor market conditions. Will the second time be the charm?

Investment bankers are knocking on the company's doors, though Barefield said an IPO in 2005 is unlikely.

"Things change dramatically when you become a public company," he said, citing the increased scrutiny and regulations. "It is really forcing companies to step back and ask whether that is the right answer."

Mforma Group: This rapidly growing provider of games, ringtones and sports scores for cell phones has all the ingredients of a company on the verge of a public offering.

Racing from continent to continent, Mforma Chief Executive Dan Kranzler is building one of the biggest distribution networks for mobile content on the planet. Already, more than 100 mobile phone companies in 39 countries rely on Mforma to distribute games such as "Top Gun Air Combat" and "Ducati Extreme."

Kranzler, a semiretired venture capitalist and former McCaw Cellular executive, is not slowing down. He bought a South Korean mobile game company in May, established a subsidiary in Shanghai, China, in July, bought a game developer in Britain in August and signed a potentially huge licensing agreement with Marvel Enterprises in December.

Within a two-month period last summer, Kranzler pulled in $63 million in financing with a commitment for another $21 million. If all goes as planned, Kranzler said sales could top more than $200 million in the next two years.

With that type of revenue growth, an initial public offering would not be a surprise. Kranzler, who has hinted at taking the 3-year-old Bellevue company public, will need additional capital and public stock currency to keep up with the competition.

In fact, one of Mforma's primary competitors completed a $57 million initial public offering in September. Shares of Los Angeles-based Jamdat Mobile, a distributor of games such as "Jamdat Bowling" and "Lord of the Rings," have increased more than 25 percent since the IPO.

Radiant Research: With about 1,000 employees working at more than 50 clinical research locations throughout the country, Bellevue-based Radiant Research already is a big company.

But this 7-year-old firm, which conducts clinical trials for Amgen, Genentech, Pfizer and other biotechnology giants, is still growing. An initial public offering could provide the capital necessary to build more research centers, a move that would establish it as the 800-pound gorilla in the emerging market of outsourced clinical trials. It also could be used to buy clinical trial facilities -- a tactic the company has used to expand the business in the past few years.

Radiant Research landed $26 million in venture capital financing in September, with the money coming from heavy hitters such as ABS Capital, Mayfield and Oak Investment Partners.

With revenue of $73.5 million in 2003 and a track record of profitability, Radiant Research has the characteristics of an IPO candidate.

But troubles in the biotechnology and pharmaceutical industries could derail a possible public offering.

Tully's Coffee Corp.: Five years ago the Seattle Post-Intelligencer picked Tully's Coffee as a potential IPO candidate. It was a natural choice. Because it has more than 500 shareholders, Tully's already acts like a publicly traded company, filing quarterly financial reports and holding annual meetings. But after several fits and starts, Seattle's second-best-known coffee company still can't be found on any public stock exchange.

Some shareholders have grown impatient waiting for the 13-year-old company to make the leap.

At the annual shareholders' meeting in November, an investor asked about the possibility of an IPO. Tully's founder and Chairman Tom O'Keefe replied his wife has been waiting for it to go public for 12 years.

Will 2005 be the year?

A company spokesman said an IPO is not imminent.
